Welcome to StudyBFF, an educational platform developed by True North Labs LLC ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the StudyBFF mobile application, web platform, features, content, products, and services (collectively, the "App").

By accessing or using the App, you agree to be legally bound by these Terms. If you do not agree with these Terms, please do not use the App.

1. Eligibility and Account Registration

1.1 You must be at least 13 years of age to use StudyBFF. If you are under the age of 18, you must have parental or legal guardian consent to use the App.

1.2 When you register for an account, you agree to:

• Provide accurate, current, and complete information;

• Maintain the security and confidentiality of your login credentials;

• Notify us immediately of any unauthorized use of your account;

• Be responsible for all activity that occurs under your account.

2. License and Restrictions

2.1 We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the App solely for your personal, non-commercial educational use.

2.2 You agree not to:

• Modify, copy, distribute, reproduce, republish, upload, post, transmit, or sell any part of the App without prior written consent;

• Reverse engineer, decompile, or disassemble any part of the App;

• Use the App for any illegal or unauthorized purpose;

• Interfere with or disrupt the integrity or performance of the App;

• Use automated scripts to collect information from or interact with the App.

3. Subscription Services and Payments

3.1 StudyBFF offers both free and premium features. Premium subscriptions may include additional features such as advanced study modes, progress tracking, AI content generation, and more.

3.2 All subscription fees are clearly disclosed and may be subject to recurring billing. By subscribing, you authorize us to charge the applicable fees to your payment method.

3.3 You may cancel your subscription at any time through your account settings. Canceling your subscription does not entitle you to a refund for any prior payments unless required by law.

3.4 We reserve the right to change subscription plans or fees at any time with reasonable notice.

4. User-Generated Content

4.1 You may create, upload, and store educational content, including notes, flashcards, quizzes, or other material ("User Content").

4.2 You retain all ownership rights in your User Content. However, by uploading or creating content on the App, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your content solely for the operation and improvement of the App.

4.3 You are solely responsible for your User Content and the consequences of sharing or publishing it. We are not liable for any loss or damage resulting from your content.

4.4 We reserve the right to remove content that violates these Terms or applicable law.

5. Intellectual Property

5.1 All content, software, features, and functionality of the App, including but not limited to design, graphics, text, icons, code, and trademarks, are the exclusive property of True North Labs LLC or its licensors.

5.2 Nothing in these Terms grants you any rights to use our trademarks, logos, or other proprietary materials without our prior written consent.

6. Privacy Policy

6.1 Your use of the App is governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the App, you consent to the data practices described in the Privacy Policy.

6.2 StudyBFF complies with applicable privacy laws, including the Children’s Online Privacy Protection Act (COPPA), the Family Educational Rights and Privacy Act (FERPA), and the General Data Protection Regulation (GDPR), where applicable.

7. AI and Automated Content

7.1 Some features of StudyBFF may include AI-generated content or suggestions. This content is intended to assist and not replace human judgment.

7.2 We make no guarantees about the accuracy, reliability, or completeness of AI-generated outputs.

8. Termination

8.1 We reserve the right to suspend or terminate your account and access to the App at any time for any reason, including but not limited to violation of these Terms.

8.2 Upon termination, your license to use the App will immediately cease, and we may delete your account and associated data.

9. Disclaimers and Limitation of Liability

9.1 The App is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, accuracy, and non-infringement.

9.2 We are not responsible for any loss or damage caused by:

• Errors or inaccuracies in the App;

• Unauthorized access to your data;

• Bugs, viruses, or harmful components transmitted via the App.

9.3 In no event shall True North Labs LLC be liable for any indirect, incidental, consequential, or punitive damages arising from your use or inability to use the App.

10. Indemnification

You agree to defend, indemnify, and hold harmless True North Labs LLC and its affiliates from any claims, damages, liabilities, or expenses arising out of your use of the App, your User Content, or your violation of these Terms.

11. Governing Law and Dispute Resolution

11.1 These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles.

11.2 Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by law.
